Gemini Exchange Submits S-1 Registration Statement for Planned Nasdaq IPO Under the Ticker ‘GEMI’

Gemini Space Station, Inc. Registration Statement

Gemini Space Station, Inc. (Gemini Exchange) filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission (SEC) on August 15, 2025, for a proposed initial public offering (IPO) of its Class A common stock, with the number of shares and price range yet to be determined and subject to market conditions.

The company plans to list its shares on the Nasdaq Global Select Market under the ticker “GEMI.” Goldman Sachs & Co. LLC and Citigroup are leading the offering as bookrunners alongside Morgan Stanley and Cantor, with Evercore ISI, Mizuho, Truist Securities, Cohen & Company Capital Markets, Keefe, Bruyette & Woods, A Stifel Company, Needham & Company and Rosenblatt also serving as bookrunners, and Academy Securities and Amerivet Securities acting as co-managers.
